The following terms and conditions (the “Terms”) apply to the purchase of cryptographic tokens (“RETOK”) from RETOK HK Ltd. (the “Company”), a company registered in Hong Kong (“RETOK”), by you (“User” or “Buyer”). You and the Company are each a “party” to these Terms and together the “Parties”. This document is not an investment solicitation and does not relate to an offering of securities in any jurisdiction. This document describes the sale of RETOK tokens.

If you do not agree to these Terms, do not purchase Tokens from the Company.If you purchase Tokens from the Company, you are bound by these Terms and all terms incorporated by reference. If you have any questions regarding these Terms, please contact www.retok.org에.

By purchasing RETOK, and to the extent permitted by law, you agree to hold the Company and its past, present, and future employees, officers, directors, contractors, consultants, equity owners, suppliers, vendors, providers, service providers, parent, subsidiaries, affiliates, agents, representatives, representatives, predecessors, and successors in interest, harmless from any loss, damage, or liability of any kind whatsoever, including any losses arising out of the terms and conditions set forth below. be liable for any losses or special, incidental, or consequential damages arising out of or in any way connected with the sale of RETOK, including any losses related to the terms set forth below.

RETOK purchases should only be made by individuals, organizations, or companies that have significant experience and understanding of the use and complexity of crypto tokens, including Binance Smart Chain tokens, and blockchain-based software systems. The buyer must have a functional understanding of the storage and transfer mechanisms associated with other crypto tokens. The Company may assist RETOK purchasers during the sale, but the Company assumes no responsibility for any loss of BTC, ETH, USDT, METIC or RETOK resulting from any action taken or omitted by the purchaser. If you do not have such experience or expertise, you should not purchase RETOK or participate in the sale of RETOK. Your participation in the sale of RETOK constitutes a promise that you fulfill the requirements mentioned in this paragraph.

The Buyer agrees to purchase and sell RETOK tokens subject to the following conditions:

RETOK Investment Risk: By purchasing, owning, and using RETOK, you expressly acknowledge and assume the following risks:

#1 RETOK Token Sale Conditions
If you are a citizen, resident (tax or otherwise), or permanent resident of the United States or any other country where cryptocurrencies are prohibited, you may not create or use RETOK Tokens under the laws of that country.

#2 The Company will not purchase any RETOK tokens during the RETOK Pre-Sale Period. The Company warrants that neither it nor its shareholders will purchase RETOK during the RETOK Pre-Sale Period. The Company also warrants that neither it nor its shareholders will purchase RETOK from any third party during the RETOK Pre-Sale Period.

#3 Purchase of RETOK
All purchases of RETOK are final. Purchases of RETOKs are non-refundable. By purchasing RETOKs, Buyer acknowledges that neither the Company nor any of its affiliates, directors or shareholders shall be required to provide refunds for any reason.

#4 Warranty Disclaimer
Buyer expressly agrees that Buyer is purchasing RETOK solely as is and that RETOK is provided “as is” without warranty, including, but not limited to, any title or implied warranties, merchantability or fitness for a particular purpose. No Extended WarrantyPursuant to applicable law, which reduces any legally required warranty period to within 30 days of first use or the minimum period of use. Without limiting the foregoing, the RETOK team does not warrant that the RETOK purchase process will be uninterrupted or error-free.

#5 No Risk of Loss Insurance
Unlike bank accounts or accounts at some other financial institutions, RETOKs are uninsured unless you purchase private insurance to cover them. Therefore, there is no public or private insurance in place to provide reimbursement to you in the event of loss or diminution of utility value.

#6 Risk of losing access to your RETOK cold wallet due to private key loss, storage error, or buyer error
A private key or combination of private keys is required to control and dispose of RETOK stored in a digital wallet. Therefore, the loss of the required private key associated with the digital wallet storing your RETOK will result in the loss of your RETOK. In addition, any third party who gains access to your private key, including access to your login credentials for a hosted wallet service, may be able to steal your RETOK. Errors or malfunctions caused by or otherwise related to the digital wallet or vault in which you choose to receive and store your RETOK may result in the loss of your RETOK. In addition, your failure to follow the correct procedures for buying and receiving tokens may result in the loss of your RETOK. For example, if you provide an incorrect address in the incoming RETOK or provide an address that is incompatible with Polygon ERC-20, you may lose your tokens.

#7 Risks Related to the Blockchain Protocol
Because RETOK and the NFT Platform are based on the Binance Smart Chain Protocol, any malfunction, failure or abandonment of the Binance Smart Chain Protocol could have a material adverse effect on the Platform or RETOK. Moreover, technological advances, such as advances in cryptography or developments in quantum computing, may pose risks.

#8 Risk of mining attacks
Like other decentralized crypto tokens based on the Binance Smart Chain protocol, RETOK is vulnerable to attacks by miners in the process of validating RETOK transactions on Binance Smart Chain. A successful attack poses risks to the platform and RETOK, including the accurate execution and recording of transactions involving RETOK.

#9 Risk of Hacking and Security Vulnerabilities
Hackers or other malicious groups or organizations may attempt to disrupt the Platform or RETOK in a variety of ways, including malware attacks, denial of service attacks, consensus-based attacks, Sybil attacks, smurfing, spoofing, etc. In addition, because the Platform is based on open source software, there is a risk that third parties or members of the Company team may intentionally or unintentionally introduce vulnerabilities into the core infrastructure of the Platform, which could adversely affect the Platform and RETOK, including the usefulness of RETOK to obtain services.

#10 Risks associated with the RETOK market
If secondary trading of tokens is facilitated by third-party exchanges, such exchanges may be relatively new and have little or no regulatory oversight, making them more vulnerable to fraud or manipulation. Moreover, to the extent that third parties attribute an external exchange value to RETOK (e.g., denominated in digital or fiat currency), such value may be extremely volatile.

#11 Risks Related to Uncertain Regulation and Enforcement Actions
The regulatory status of RETOK and distributed ledger technology is unclear or unstable in many countries. It is difficult to predict how regulators will or will not apply existing regulations with respect to such technologies and their applications, including the YEONGTO Platform and RETOK. Similarly, it is difficult to predict how legislators or regulators will implement changes to laws and regulations affecting distributed ledgers. #12 Taxation Risks
The tax characterization of RETOK is uncertain. You should seek your own tax advice in connection with your purchase of RETOK, which may result in adverse tax consequences to you, including withholding taxes, income taxes, and tax reporting requirements.

#13 Risk of Competing Platforms
Alternative platforms may be built that utilize the same open source code and protocols underlying the platform and seek to facilitate services substantially similar to RETOK services.

#14 Risks arising from lack of control
Because RETOK does not grant you any kind of control over the Platform or the Company, all decisions related to the Company's products or services within the Platform or the Company itself are made solely by the Company. These decisions may adversely affect any RETOK's utilities that you own, including the Platform and RETOK's utilities for obtaining services.

#15 Unanticipated Risks
Crypto tokens such as RETOK are a new and unproven technology. In addition to the risks contained in these Terms, there are other risks associated with the purchase, ownership, and use of RETOK, including unanticipated risks. Such risks may further materialize as unanticipated variations or combinations of the risks discussed in these Terms.
